Internal control system: a viable option for condensing the board's role?

Abstract

Fiduciary role of Board of directors’ in public companies is very essential and need to focus on strategic operations instead of governing day to day affairs. In the process of adding value to the organization, the Board should get an assurance on effectiveness of internal control systems from strategic management. However, the effectiveness of Board members of public companies is mainly influenced by proper induction, training and the practice of code of conduct apart from other independent variables. This paper, considering the significance Board of Directors in public companies, has made an attempt to ascertain whether internal control systems would facilitate Board of Directors in discharging their fiduciary role? The study revealed significant influence of internal control systems on discharging fiduciary role of Board of Directors. It is, therefore, concludes that effectiveness of internal control system condenses the role of Board of Directors at Public Limited Companies.
