Abstract

Corporate governance is made up to balance interest or objective conflicts between owners or shareholders and management caused due to the separation of ownership and management. However, in the modern era, corporate governance is more focused to all stakeholders who have a genuine interest in the corporation, rather than only shareholders. This paper intends to study minority shareholders’ satisfaction level towards corporate governance in India. This paper is based on primary data collected from a sample of 495respondents through a well-structured questionnaire. The main statistical techniques used for subjecting the primary data include frequency distribution, mean, SD, t and f test. Major findings of the study revealed that the sampled respondents consider five factors, namely, ‘shareholders rights’, ‘timeliness and adequacy of disclosure’, ‘trustworthiness of financial intermediaries’, ‘fairness and independence of the legal system’ and ‘treatment of foreign investors as equal to local investors’, quite satisfactory across all independent variables.
