Corporate governance not only states the economic prospects of developing countries but also plays a central role in shaping them. India, despite having one of the best corporate governance laws but poor implementation along with socialistic policies has been affected. Concentrated ownership of shares in limited hands along with movement of funds among group companies marks the Indian corporate Governance lacklustre. Since liberalization, serious efforts have been directed into the system with the SEBI instituting the Clause 49 for dealing with corporate governance. However, considerable room remains for improvement.
This Paper highlights the present situation of corporate governance in India along with a series of suggestions designed to improve corporate governance.
