Abstract

A new Company Act has been enacted for India. The much awaited Companies Bill has been passed by both the houses of Parliament and soon received the assent of the president of India. The new Act has been welcomed with open arms by every Indian. The Companies Act, 2013 consists of a number of provisions aimed at strengthening Corporate Governance framework of India and giving greater protection to minority shareholders while protecting the democracy of all the stakeholders. This paper seeks to look into the various new provisions introduced for the first time while at the same time tracing the history of the development of the Companies Act, 2013.
