Corporate governance has now become a mainstream concern and a subject of discussion in corporate boardrooms, academic circles, government and regulators around the globe. Some of the big business scandals confirm the public perception that corporate leadership is filled with greed and excess. The essence of corporate governance lies in promoting and maintaining integrity, transparency and accountability in the higher levels of management. Good corporate governance increases the confidence of investors trust and results in the development of capital market. Strengthen investors trust ensures a long term partnership that helps in fulfilling the company's quest for higher growth and profit. This research paper aims to test the attitudes of 40 senior executives of selected units all over India regarding corporate governance. For that questionnaire and structured interview method has been used to collect data. Substantial desk research has been undertaken into corporate governance and transparency practices. Boards have an important and significant role to play when it comes to their organization's strategy and strategic planning process. But is there any room for improvement? According to the directors that have participated in ongoing research project the answer is most definitely ‘yes’. The current paper also identifies and discusses the top 22 areas of improvement, which directors feel need to be addressed if their responsibility for strategy is to be exercised properly.
