For better management of any organization, internal corporate governance plays a key role. The objective of the study is to examine the awareness level of the bank officials about the internal governance system in order to identify the factors influencing the procedures & practices of internal corporate governance in the banking sector, the importance of internal corporate governance within bank elements; to deduce the recommendations towards current policy measures, in order to slender the differences between strategic planning and implementation of internal governance practices. In the present study different factors like discipline, board structure and responsibilities, transparency, accountability and accounting standards, social awareness and employee organizational behaviour were examined using Factor analysis. In order to attain the objectives of the survey the researcher has towards qualitative and quantitative information through questionnaires, personal interviews. In the study research approach adopted is descriptive as well as exploratory in nature.
