The paper aims to clarify the relationship between ethics and governance of corporate. It is understandable that the crux of governing a corporate lies in perfection of protecting and safeguarding the interest of its minority stakeholders. Similarly, the very purpose of this qualitative paper based on conceptual study is to meticulously understand the matrix relationship of ethics and conformance to them as quintessence embedded roots for governing a corporate. An ethical relatedness in terms of Matrix of Governance and Fraud, Association Matrix of Care and Interest Degrees and consequently, formed Four Quadrants of Governance Matrix cater to an identified need of framing and enabling corporate governance based on ethical and conscientious issue. This paper provides a forum and serves as an index, where individual issues of an entity can be identified with developed matrices to test entity governed level. Hence, the paper definitely helps as new insights into governance by providing a base to form such strategies at corporate and state polity levels, which are appropriate and thoroughly helpful in rejuvenating corporate culture.
